Trespass on the Case to enforce liability of defendant as an officer and director of a corporation under Gen. Laws, 1909, cap. 214, §§ 2, 3, 12.

This is an action of the case brought by the plaintiff, a creditor of the Manchester Manufacturing Com pany, a corporation located in the city of Providence, against the defendant as the secretary, treasurer, and director of said company under the provisions of Sections 2, 3, and 12 of Chapter 214 of the General Laws of Rhode Island, 1909. These sections are as follows:
