Appeal by the defendants, Archer Y. Pancoast and others, from a judgment of the Supreme Court in favor of the plaintiff, entered in the office of the clerk of the county of New York on the 2d day of November, 1896, upon the verdict of a jury rendered by direction of the court.

This action was brought against the defendants as directors of the Archer & Pancoast Manufacturing Company, a domestic corporation, for goods sold and delivered to said corporation between March 1, 1893, and May 19, 1893, the said company having failed to file its annual report for that year. The evidence showed that the Archer & Pan coast Manufacturing Company was organized in September, 1868, by the filing of a certificate of incorporation in the offices of the Secretary of State and of the clerk of the city and county of New York.
