OPINION AND ORDER
SWAIN, District Judge.
This diversity action comes before the Court on the motions of Defendants Ernest Lorch (“Lorch”) and Riverside Church (“Riverside”) to dismiss the original Complaint, which, to the extent they have not already been resolved, 1 have been converted by the Court into motions for summary judgment pursuant to the last sentence of Rule 12(b) of the Federal Rules of Civil Procedure.
