SATZ, Presiding Judge.

Plaintiffs appeal from a summary judgment entered by the trial court in favor of defendant. We affirm.

Plaintiffs, Allen and Ronald Peterson, are minority shareholders of Brooks International Corporation (BIC) and, until February 7, 1984, were employees and officers of BIC. Continental Boiler Works, Inc. (Continental) is the majority shareholder of BIC, and defendant, Aurelia M. Kennedy, was a director of Continental from 1984 to 1988.
