Arthur Kaiser, who alleged that he is a stockholder of Jerry Kaiser & Associates, Inc., a corporation (Corporation) brought an action in four counts against the Corporation, David Moulton and his wife, and Patricia Kaiser, individually and as executrix of the estate of Jerry Kaiser. Count I seeks damages on the ground that Moulton and the Corporation refused to permit plaintiff to inspect the books of the Corporation.
