I. INTRODUCTION

On June 14, 2004 to June 18, 2004, the Court conducted a bench trial in this case. The parties each submitted post-trial briefs and proposed findings of fact and conclusions of law in July 2004. The Court now issues its findings of fact and conclusions of law pursuant to Rule 52 of the Federal Rules of Civil Procedure.
