I. INTRODUCTION
Plaintiffs bring this securities fraud action under Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 promulgated thereunder.1 They allege that a number of material misstatements and omissions made by defendant Vivendi, S.A.
