This action was commenced by Plaintiff Vigilant Insurance Company to collect a debt allegedly owed by Defendants Walter E. Burnell (“Burnell”) and WEB Electrical, Inc. (“WEB”) pursuant to a General Indemnity Agreement signed by Burnell and WEB in favor of MCA Insurance (“MCA”) on January 10, 1992 (Docket No. 1, Exhibit A).
