MANTON, Circuit Judge.

Defendant in error sued for breach of contract of employment. He was a vice president and director of the plaintiff in error for two years and four months, having been elected and appointed such after some negotiations. The plaintiff in error, engaged in the insurance business in New York, was desirous of ob*800taining the reinsurance business of the Prussian National Insurance Company, a German"corporation, which ceased doing business in the United States during the war period, because its property was taken over by the Alien Property Custodian.
