ELLIS, Judge.

Tuterri’s, Inc., is a Missouri corporation located in Kansas City, Missouri, engaged in the business of manufacturing and selling hand-made gourmet pasta products throughout the United States. Terri Webb McMil-lin, the founder and president of Tuterri’s, is responsible for all accounting, financial, marketing, sales and contractual matters for the company. As such, she is responsible for obtaining insurance for Tuterri’s. McMillin purchased all of Tuterri’s insurance through R.J.
