Irving Kas and his daughter Helen Sonenshine appeal from the District Court’s denial of their motion for class certification and dismissal of their complaint setting forth violations of the Securities Exchange Act of 1934. The alleged violations occurred in connection with a proxy statement issued by Financial General Bankshares, Inc. (Financial General).
