I. INTRODUCTION
Plaintiff Formulatrix, Inc. ("Formulatrix") has brought this action against Rigaku Automation, Inc. ("Rigaku") and Rigaku Americas Holding, Inc. ("Rigaku Americas") (together "Rigaku") for breach of contract and other causes of action related to a January 2015 Customer Support Agreement ("CSA") between the parties. At the heart of Plaintiff's complaint is its allegation that Rigaku failed to comply with certain provisions of the CSA governing *416the transmission of business documents within a 90 day period.
