I. Introduction

This appeal arises out of a contract dispute in the United States District Court for the Southern District of Florida. In the proceedings below, the district court granted summary judgment in favor of the American University of the Caribbean (AUC) on its contract claim against Brooklyn-Queens Healthcare (BQHC) and Wyckoff Heights Medical Center (Wyck-off).
