CLARK, Judge.

This suit involves a contest between two groups of rival osteopathic physicians over the organizational structure and control of their professional association. The trial court, after a bench trial, entered judgment in favor of the group represented by respondents and this appeal followed.

The organization in question is known as the Missouri Society of the American College of General Practitioners in Osteopathic Medicine and Surgery, hereafter referred to as the Society. The organization had its origin in 1953 and for some time was operated as an unincorporated association. The…
