PREGERSON, Circuit Judge:
This is an appeal from a judgment granting defendant’s motion to dismiss under Fed.R.Civ.P. 12(b)(6) for failure to state a federal claim. The district court held that the complaint did not allege facts sufficient to constitute a violation of section 43(a) of the Lanham Act, 15 U.S.C. § 1125(a). Appellant argues that the district court erred since the acts alleged in the complaint are the economic equivalent of “palming off,” or misuse of a trade name, thus meeting the district court’s standard for stating a claim under section 43(a).
