Kuehl v. Freeman Bros. Agency, Inc.

This ease raises several questions arising out of the sale of an insurance agency in a bench trial of a law action. We affirm the trial court’s judgment in all respects.

I. Background facts and proceedings. On March 23, 1987, Jeffrey Kuehl sold his insurance agency, Gateway Insurance Associates, Ltd. (Gateway), an Iowa corporation, to defendant Freeman Brothers Agency, Inc. (Freeman Brothers). The purchase agreement required seller to be responsible for all claims arising out of any errors or omissions occurring in business transacted by seller prior to March 1, 1987…
