This is a diversity action brought by a North Carolina corporation, Cone Mills Corporation (hereinafter referred to as “Cone”) against a Georgia cotton grower, Dabbs Enterprises, Inc. (hereinafter referred to as “Dabbs”) and a Georgia cotton merchant, A. G. Estes, Inc. (here inafter referred to as “Estes”) seeking a declaratory judgment, specific performance of two contracts and other injunctive relief.

The defendant Dabbs filed a counterclaim and crossclaim against Cone and Estes respectively. Thereafter, Cone and Estes filed a motion to dismiss…
