Plaintiffs appeal from the district court’s dismissal, pursuant to Fed.R.Civ.P. 9(b) and the Private Securities Litigation Reform Act; of their securities fraud class action alleging violations of §§ 10(b) and 20(a) of the Securities Exchange Act of 1934 and Securities and Exchange Com*254mission Rule 10b-5. For the reasons that follow, we reverse in part and remand.
