The Marine Equipment Management Company. (“MEMCO”) and Joseph Cross (“Cross”), plaintiffs below, appeal from the *645District Court’s1 dismissal of their declaratory judgment action. The district court dismissed the complaint without prejudice based on its ruling that no justiciable dispute exists between these parties that is sufficient to satisfy the Article III “case or controversy” requirement. We affirm.
