OPINION

In this diversity ease plaintiff, alleging the misappropriation and continuing use of its trade secret by defendant, seeks declaratory and injunctive relief, an accounting of profits, compensatory and punitive damages, and an assessment of costs and attorney fees. The instant action is before the court on plaintiff’s motion, pursuant to Rule 15(a), F.R.Civ.P., for leave to file a second amended complaint, and defendants’ motion, pursuant to Rule 12(b), F.R.
