MEMORANDUM AND ORDER

SAVAGE, District Judge.

Continental Casualty Company (“Continental”) brought this action seeking a declaration that it has no duty to defend and to indemnify its insured, the defendant County of Chester (“County”), pursuant to a pubhc officials liability policy, against a four count counterclaim in a state court action. 1 Arguing that all claims against the insured are excluded from coverage because they arise out of a breach'of con tract or out of debt financing, Continental now moves for summary judgment. 2
