OPINION
WIGENTON, District Judge.
Before the Court is Defendant Rodney Hunt Company, Inc.’s (“Defendant”) Motion to Dismiss the Amended Complaint pursuant to Fed.R.Civ.P. 12(b)(6). This Court has jurisdiction over this action pur*281suant to 28 U.S.C. § 1332. Venue is proper in this District pursuant to 28 U.S.C. § 1391(b). This Court, having considered the parties’ submissions, decides this matter without oral argument pursuant to Federal Rule of Civil Procedure 78.
