MEMORANDUM OPINION AND ORDER
JERRY VENTERS, Bankruptcy Judge.
Affiliated Foods, Inc., (“Affiliated Foods”) a member-owned cooperative grocery wholesaler based in St. Joseph, Missouri, filed a Chapter 11 petition in this Court on July 7, 1999. Two wholly owned subsidiaries, Hy-Klas Food Products, Inc., (“Hy-Klas”) and Belt AF Super, Inc., (“Belt”) filed their own Chapter 11 petitions on December 21, 1999.
