MEMORANDUM OPINION

MICHAEL, Judge.

Plaintiff in this action is one of four shareholders in the defendant Bowman Apple Products Co., Inc., a closely held corporation. The five count complaint alleges that the defendant, Gordon D. Bowman, II, has improperly conducted the affairs of the corporation so as to “squeeze out” the plaintiff and obtain her interest in the corporation for less than it is worth. The court has jurisdiction pursuant to 28 U.S.C. § 1332. Currently before the court are defendants’ joint motion to dismiss as to all counts, and defendants’ joint motion to transfer this case to…
