BACKGROUND

Plaintiff, personally and purportedly as.a representative of others similarly situated, commenced this action against Sykes Data-tronics, Inc., (“Sykes”) and several of its directors and officers alleging violations of Section 10b of the Securities Exchange Act of 1934, 15 U.S.C. Section 78j(b), and Rule 10b-5, 17 C.F.R. Section 240.10b-5, promulgated thereunder.
