OPINION AND ORDER

KELLAM, District Judge.

The five individual defendants are partners engaged in the business of *609“selling real estate and insurance and managing rental property.” As a part of their activities, defendants manage or supervise numerous apartment projects under contracts with the owners. These contract rental payments “as received are deposited in an in and out account on behalf of the owner and expenses1 are paid out of this account with the balance distributed immediately after receipt.
