This matter comes before the Court on the motion of Makino, Inc. (“Makino”) for partial summary judgment pursuant to Federal Rule of Bankruptcy Procedure 7056 and Federal Rule of Civil Procedure 56 on the complaint filed by Bank of Amer-ica, N.A. (the “Bank”) seeking a determination of the extent, validity and priority of liens in the proceeds of certain machinery that Makino sold to Outboard Marine Corporation and its related debtor entities (“OMC”).
