MEMORANDUM OPINION AND ORDER
KANE, District Judge.
This dispute arises from a collective bargaining agreement between the United Food and Commercial Workers International Union, AFL-CIO, of which the plaintiffs are members of Local P-85, and defendant Cudahy Company. The complaint, which was filed in Colorado state court, alleges that defendant General Host Corporation and its wholly-owned subsidiary, Cudahy, conspired improperly to interfere with the collective bargaining agreement of which the plaintiffs are third-party beneficiaries.
