In 2010, Congress enacted the Healthy, Hunger-Free Kids Act which made major changes to the national school lunch program. The Act required the United States Department of Agriculture (the “USDA”) to develop new regulations to take effect in 2012 to address new nutritional guidelines. In 2011, Heartland Payment Systems, Inc. (“Heartland”), a credit card processing company, wanted to expand its school operations.
