RIDGELY, Justice.
Defendant-Appellant Lorillard Tobacco Company appeals the declaratory judgment of the Court of Chancery in favor of the American Legacy Foundation (“ALF”) arising from a contract dispute under a Master Settlement Agreement (“MSA”) between the nation’s largest tobacco companies and forty-six states’ attorneys general. Consistent with the terms of the MSA, ALF was created to reduce tobacco usage among youth.
