Plaintiffs in this action seek damages for defendants’ alleged violation of both the federal securities laws and common-law principles of fraud and fiduciary duty. Defendants are E.F. Hutton & Co., Inc. (“Hutton”), and five individuals who were employees of Hutton during the period when the events described in plaintiffs’ amended complaint allegedly occurred. They move for an order dismissing the amended complaint, pursuant to either (1) Rule 9(b), Fed. R.Civ.P., for failure to allege fraud with the requisite particularity, or (2) Rule 12(b)(6),…
