Presently pending before the Court is Defendants’ Motion to Dismiss Plaintiffs’ First Amended Complaint. (Doc. No. 118.) The matter is fully briefed and ready for disposition.
I. BACKGROUND
In this action, Plaintiffs Compass Bank and Vectra Bank Colorado, N.A. (“Plaintiffs”) seek remedies in connection with the alleged breach of a contract and fraudulent inducement of that contract by Defendants Eager Road Associates, L.L.C., Alan R. Skop, Don C.
