This appeal arises from the Asset Purchase and Sale Agreement (APSA) entered into between Mirant Corporation (Mirant) and Potomac Electric Power Company (PEPCO). This appeal is not the first time these parties have been before us, see In re Mirant Corp., 378 F.3d 511 (5th Cir.2004), and we recognize that it may not be the last.
