I. INTRODUCTION
This lawsuit arises from the sale of a lumber grading system to plaintiffiappellee Rayonier Wood Products (“Rayonier”) by debtor/defendant ScanWare, Inc. Rayonier sought damages for breach of contract against both ScanWare and defendant/appellant FinScan OY (ScanWare’s owner) in Emanuel County Superior Court. Scan-Ware subsequently petitioned for Chapter 11 reorganization in the District of Oregon (the “Oregon bankruptcy court”).
