I. BACKGROUND.
This case arises out of a commercial transaction between the plaintiff, Neo Sack, Ltd. (“Neo Sack”) and the defendant, Vinmar Impex, Inc. (“Vinmar”). Neo Sack is an Indian corporation with its principal place of business in Indore, India, and Vinmar is a Texas corporation with its principal place of business in Houston, Texas.
