Plaintiff Commercial Law Corporation, P.C. (CLC) sued the Federal Deposit Insurance Corporation (FDIC) in its capacity as receiver for the Detroit-based Home Federal Savings Bank (“the bank”), claiming $176,750 in unpaid attorneys’ fees for legal services rendered to the bank in 2008 and 2009. The district court granted the FDIC’s motion for summary judgment, concluding that 12 U.S.C. §§ 1821(d)(9)(A) and 1823(e)(1) precluded enforcement of plaintiffs unrecorded fee agreement with the bank.
