Plaintiff CityFed Financial Corp (“CityFed”) is a publicly held savings and loan holding company incorporated under Delaware law with total assets in excess of $7 billion. Defendants Federal Home Loan Bank Board (“Board”) and the Federal Savings and Loan Insurance Corporation (“FSLIC”) are agencies of the United States Government. Defendant George S.
