This case is before us on an appeal by the plaintiff from a judgment on a directed verdict in favor of the defendant.

*538It is alleged in the complaint: “That on or about the 22d day of January, 1907, the defendant herein entered into an agreement in writing with the plaintiff herein, wherein and whereby, among other things, the said defendant agreed as follows: That if the city of Milbank, county of Grant, state of South Dakota. •:= * * And it is mutually agreed that in the event the stock of goods hereinbefore mentioned and described should exceed the sum of $6,000 in value at their invoice and…
