SATZ, Judge.

This is a battle of the acronyms. Plaintiffs are the Missouri State Teachers Association (MSTA) and six individual teachers. The teachers sue individually and as representatives of a class of “disenfranchised” members of St. Louis Suburban Teacher’s Association (Suburban). Suburban was affiliated with MSTA as a district. Defendants are Suburban, officers and directors of Suburban, the Missouri National Education *747Association (MNEA), and officers of MNEA.
