OPINION
MARBLEY, District Judge.
I. BACKGROUND
On July 3, 1997, Plaintiff Energy Marketing Services, Inc. (“EMS”), filed this action against Defendant Homer Laughlin China Company (“HLCC”) in the Franklin County Court of Common Pleas, alleging breach of contract and seeking specific performance under the terms of the parties’ prior contract. On July 31, 1997, HLCC removed the case to this Court pursuant to the Court’s diversity jurisdiction under 28 U.S.C. § 1332. Venue is proper pursuant to 28 U.S.C. § 1441(a).
