The sole question in this case is whether a certain deferred compensation plan is a so-called “top hat” plan and thus exempt *285from most of the substantive requirements generally imposed on deferred compensation plans by the Employee Retirement Income Security Act (“ERISA”), 29 U.S.C. §§ 1101 et seq.
