The controlling facts in this case are not in controversy. The M. Werk Company, a corporation which is engaged in the manufacture of soap, has an authorized capital stock of 15,000 shares of common stock, all of which is issued and outstanding. February 21, 1929, was the time set in accordance with the regulations for the annual meeting of the stockholders. Notice was duly given, pursuant to the regulations, and when the meeting was called to order by the president, and the secretary called the roll, it was reported to the president that there were 7,749 shares represented at the meeting, and…
