OPINION
ROBERTSON, Justice.
This appeal involves the application of Delaware’s indemnification statute in the con text of a summary judgment proceeding. The trial court granted summary judgment for appellee, finding Marvin H. Grove was not sued according to the requisites of the statute, namely, “by reason of the fact” that he was an officer, director, employee, or agent of the defendant corporation’s predecessor.
