MEMORANDUM OPINION AND ORDER
HAIGHT, District Judge:
On January 27,1982, plaintiff The Cyprus Corporation (“Cyprus”) filed a complaint in this Court against defendants Martin J. Whitman, M. J. Whitman & Co., Inc., and M. J. Whitman & Co., Inc. Pension Plan (hereinafter sometimes referred to as the “Whitman interests”). Cyprus’s complaint alleged jurisdiction under section 44 of the Investment Company Act of 1940,15 U.S.C. § 80a — 13, and section 27 of the Securities Exchange Act of 1934, 15 U.S.C. § 78aa.
