MEMORANDUM OPINION AND ORDER

BUCKLO, District Judge.

Plaintiff, Wobble Light, Inc. (“Wobble Light”), entered into a subscription agreement with defendants, McLain/Smigiel Partnership, Denny McLain and Roger Smigiel, pursuant to which defendants promised to make certain payments in return for 51% of the shares of Wobble Light. Following the deterioration of the parties’ relationship, Wobble Light filed this lawsuit.
