Seven Hills Associates is a limited partnership, formed on August 1, 1965, under the laws of the State of Ohio for the purpose of owning and operating a two-story commercial office building located in Worcester, Massachusetts. Plaintiff, a limited partner in Seven Hills since 1966, commenced this action by service of a summons and verified complaint which asserts two causes of action—the first being a derivative action brought by plaintiff limited partner in place of the limited partnership against the sole general partner, defendant Raphael D.
