LOKEN, Circuit Judge.

Vigoro Industries, Inc., commenced this unfair competition action against former employees of its farm supply store in Marvell, Arkansas, and the competitor that hired them away, Cleveland Chemical Company. Vigoro’s former manager, Kenneth Crisp, counterclaimed for money allegedly owing under Vigoro’s incentive compensation plan. Following a one-week bench trial, the district court 1 awarded Vigoro $75,000 against Crisp for breach of his employee’s duty of loyalty.
