MEMORANDUM OPINION

JOHNSON, District Judge.

In accordance with the settlement agreement of the parties, plaintiff Western Surety Company (“Western”) and defendants Bradford Electric Co., Inc., and Richard T. Bradford (collectively “Bradford”) 1 submitted briefs to the court on the issue of indemnification and attorney fees.
