MEMORANDUM AND ORDER

McLAUGHLIN, District Judge.

This is a motion for summary judgment to dismiss plaintiff's complaint and to grant defendant’s counterclaim. Fed.R.Civ.P. 56. For the reasons discussed below, the motion is granted.

FACTS

Plaintiff, Infinity/U.S.A., Inc. (“Infinity”), a New York citizen, sues defendant, Sprocor, Inc. (“Sprocor”), a Maryland citizen, for breach of contract, and demands $34,753.35 in damages and attorney’s fees.
