ATKINS, Senior District Judge:

Appellants William J. Gordy and Mamie L. Kovac appeal from a summary judgment by the District Court for the Northern District of Alabama in favor of appellee, The Federal Deposit Insurance Corporation (“FDIC”).1 The district court based its ruling on a body of federal common law known as the D’Oench doctrine, which protects FDIC and The Federal Savings & Loan Insurance Corporation (“FSLIC”) from “agreements” between borrowers and banks which tend to misrepresent the value of a bank’s assets.2 We must decide *1560whether the court correctly determined that such…
